    So that guy Bainum's bid for Tribune Publishing is higher than Alden's, but since Alden already has two seats on Trib's board the board is recommending the Alden bid. The ostensible rationale is that Alden's is an all-cash offer, but those guys are getting very close to the line, securities law-wise.

    I don't think it is just an empty rationale. He didn't have the financing lined up to meet his offer. According to the SEC filing, the boad recommend shareholder approval of Alden's deal, but they granted a waiver for Bainum to pursue financing for his larger bid. It's basically, "money talks, bullshit walks corporate governance."
