Elon Musk takes over Twitter

    Musk just filed another 13D with the SEC to try to weasel out of the deal or renegotiate.

    The short version: He said that Twitter is not providing him testing data that he needs to evaluate the number of spam / bot accounts and Twitter's stance that he waived due diligence is somehow not valid so they are in breach of the agreement.

    From the filing: "Based on Twitter’s behavior to date, and the company’s latest correspondence in particular, Mr. Musk believes the company is actively resisting and thwarting his information rights (and the company’s corresponding obligations) under the merger agreement. This is a clear material breach of Twitter’s obligations under the merger agreement and Mr. Musk reserves all rights resulting therefrom, including his right not to consummate the transaction and his right to terminate the merger agreement."

    He is having buyers remorse. The price he offered was ridiculous then. It's even more ridiculous now that equity valuations have reset because of fears that the Fed is going to completely remove the punch bowl. He is trying to renegotiate or get out of it. His problem is that his offer is binding.

    What exactly constitutes a twitter bot? I'm unclear on that.
    For example, the list of Twitter accounts I manage is 17. Of those, 4 are operated solely by me...one is my professional account, one is my fuck-around-under-my-own-name account, one is a troll-the-hell-out-of-MAGA account, and one I have no idea how to access. Does that mean I have one account and 3 bots? Or are all considered legit? How am I counted in the overall totals? One guy? 17 guys? A mixture?

    I think a bot account would be one that is programmed to do things, like tweet at scheduled times or follow certain types of accounts. Twitter has an API that programmers can use to automate the account.

    As Ragu says, none of them would be bots. That term usually means one of two things: 1) Accounts that solely RT other accounts, usually based on a couple of search terms. 2) Sexy spammy bots, which usually indiscriminately follow a bunch of people, and try to get you to click on links to porn or scam sites. This latter group is also sometimes available for purchase, (i.e. If you want to, you can pay to acquire 5,000 followers.) and also will just follow a bunch of legitimate accounts. For example, I'm by no means a major Twitter user - I have about 400 to 500 followers - but a large chunk of them are accounts like this, this and this.

    So from a marketing perspective, what should an advertiser consider to be the value behind the active accounts that Twitter lists. To use my personal example, I guess an advertiser could be paying 17x to reach me, correct, even though I can't buy 17x from them. Which makes the whole thing wonky (I mean, I understand this, I actually do it for a living, but still, digital marketing is built on some questionable numbers for sure).

    How much time does Tesla have where it has the jump on the larger auto manufacturers on EV’s? It seems like that gap will close really quickly and a lot of that Tesla value will disappear. Or are we already there?
